New Rules could affect Company AGMs and EGMs

Further provisions of the Companies Act 2006 are coming into force on 1st October 2007.

All company members now have a statutory right to appoint a proxy to attend, speak and vote on their behalf at all general meetings of the company - even if the Company's Articles say otherwise.

The Company is also required to communicate this information to its members on the notice of the meeting from 1st October 2007 and Directors risk being fined if they fail to comply.

If your general meeting is coming up inthe near future and your notice has already been sent out to members (before 1st October 2007) then the general meeting can be held under the old rules.

For more information on the new regulations brought about by the Companies Act 2006 you can check out NICVA's dedicated company law reform page - www.nicva.org/index.cfm/section/General/key/141205Lgreform
